Startup Legal Checklist: What Founders in India Must Get Right Early

Most legal problems startups face later trace back to decisions made – or skipped – in the first few months. Here is what actually matters early on.

1. Choose the Right Structure

Private limited company, LLP, or partnership each carry different implications for liability, fundraising, and compliance. The right choice depends on your plans for outside investment, not just what is easiest to set up today.

2. Get a Founders’ Agreement in Writing

Equity split, vesting, roles, and what happens if a co-founder leaves early should be documented before problems arise – not negotiated under pressure after a falling-out has already started.

3. Protect Your Name and Brand Early

A trademark search and application before you invest heavily in branding avoids the costly scenario of rebranding after discovering someone else already holds the mark.

4. Use Real Contracts, Not Templates Copied Online

Vendor agreements, client contracts, and employment terms should reflect your actual business, not a generic template that misses your specific risks – particularly around IP ownership and confidentiality.

5. Get Employment Basics Right

Offer letters, notice periods, and IP assignment clauses (making clear that work created for the company belongs to the company) prevent disputes as the team grows.

6. Understand Your Compliance Calendar Early

GST registration, ROC filings, and labour law compliance obligations start accumulating from day one, even for very small teams – missed filings compound into bigger problems later.
